Terms of Service

1.Acceptance of Terms

By accessing or using the HealthProcure Intel platform, API, dashboard, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes.

2.Description of Service

HealthProcure Intel is a business-to-business (B2B) healthcare procurement intelligence platform. The Service provides programmatic API access to aggregated, structured data sourced from publicly available global healthcare procurement databases, including but not limited to:

• TED Europa (Tenders Electronic Daily) — European Union public procurement notices
• SAM.gov — United States federal procurement opportunities
• WHO (World Health Organization) — International health procurement data
• NHS Supply Chain — United Kingdom National Health Service procurement data

The Service includes a RESTful API, a web-based analytics dashboard, and associated documentation. The Service is intended for business and professional use only.

3.API Key Usage

Upon registration, you will be issued an API key bearing the hpi_ prefix followed by 64 hexadecimal characters. This API key is confidential and personal to your account.

You agree to the following conditions regarding your API key:

• You shall not share, publish, or disclose your API key to any third party.
• You shall not embed your API key in client-side code, public repositories, or any publicly accessible medium.
• You shall not resell, redistribute, sublicense, or provide bulk access to raw data obtained through the API to any third party.
• You are solely responsible for all activity that occurs under your API key.
• You must notify us immediately at legal@healthprocureintel.com if you believe your API key has been compromised.

We reserve the right to revoke or rotate any API key at any time, with or without notice, if we reasonably believe it has been compromised or is being used in violation of these Terms.

4.Tiered Plans and Rate Limits

The Service is offered under the following subscription tiers. Rate limits are enforced on a per-calendar-day basis (UTC):

Requests exceeding your plan's daily limit will receive an HTTP 429 (Too Many Requests) response. Sustained or deliberate abuse of rate limits may result in temporary or permanent suspension of your API key.

5.Data Accuracy Disclaimer

The procurement data provided through the Service is aggregated and structured from publicly available government and institutional sources. While we make commercially reasonable efforts to ensure the accuracy, completeness, and timeliness of the data, we do not guarantee that any data is error-free, complete, or current.

Data is collected through automated web scraping processes and may be subject to delays, omissions, or inaccuracies arising from changes to source websites, network interruptions, or data formatting inconsistencies.

You acknowledge and agree that the Service is intended to supplement, not replace, your own due diligence and independent verification. You should not rely solely on data obtained through the Service for procurement decisions, bidding, or contract negotiations.

6.Intellectual Property

The Service, including its software, API design, documentation, dashboard, data models, aggregation methodologies, and branding, is the intellectual property of HealthProcure Intel and is protected by copyright, trademark, and other intellectual property laws.

The underlying procurement data sourced from public government databases remains in the public domain to the extent permitted by applicable law. However, our proprietary value-added enhancements — including data normalization, currency conversion, categorization, benchmarking, and analytics — are protected intellectual property.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with your plan tier. You may not reverse-engineer, decompile, or disassemble any part of the Service.

7.Payment Terms

Paid subscriptions are billed monthly in advance through our payment processor, Stripe, Inc. By subscribing to a paid plan, you authorise recurring charges to your designated payment method.

• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
• Price Changes: We will provide at least 30 days' notice before any price increase takes effect. Continued use after the effective date constitutes acceptance of the new pricing.
• Refunds: Subscription fees are non-refundable except where required by applicable law. Downgrades take effect at the start of the next billing cycle.
• Failed Payments: If a payment fails, we will attempt to process it again. After three consecutive failed attempts, your account may be downgraded to the Free tier and your API key's rate limit adjusted accordingly.
• Taxes: All prices are exclusive of applicable taxes. You are responsible for all taxes associated with your subscription.

8.Termination

You may cancel your subscription at any time through your account settings or by contacting us at legal@healthprocureintel.com. Cancellation takes effect at the end of the current billing period.

We reserve the right to suspend or terminate your account and revoke your API key immediately, without prior notice, if we determine in our sole discretion that:

• You have violated any provision of these Terms.
• Your API key is being used for unauthorized automated scraping, denial-of-service attacks, or any activity that degrades the Service for other users.
• You are reselling or redistributing raw API data without authorization.
• Your use of the Service poses a security risk or legal liability.
• You have provided false or misleading registration information.

Upon termination, your API key will be deactivated and your access to the Service will cease. Any data stored in your account will be retained for 90 days and then permanently deleted in accordance with our Privacy Policy.

9.Limitation of Liability

To the maximum extent permitted by applicable law, HealthProcure Intel, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of, or inability to use, the Service.

In no event shall our total aggregate liability to you exceed the greater of (a) the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred pounds sterling (GBP 100).

The Service is provided on an "as is" and "as available" basis. We expressly disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights.

11.Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account and by posting a notice on the Service at least 30 days before the effective date.

Your continued use of the Service after the revised Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must discontinue use of the Service and cancel your subscription.
